Introduction

These Influencer & Affiliate Program Terms ("Terms") govern participation in the Orpheus Art Alerts ("Orpheus") Influencer, Affiliate, Ambassador, and Referral Partner Program ("Program").

By participating in the Program, applying to the Program, using referral links, promoting Orpheus Art Alerts, or accepting commissions, you ("Partner," "Affiliate," or "Influencer") agree to these Terms.

If you do not agree, you may not participate in the Program.

Independent Contractor Relationship

Partners are independent contractors and are not employees, agents, representatives, brokers, franchisees, legal partners, or joint venturers of Orpheus Art Alerts.

Partners may not:

• represent themselves as employees of Orpheus
• bind Orpheus to agreements
• negotiate on behalf of Orpheus
• make promises or guarantees on behalf of Orpheus
• imply official authority beyond participation in the Program

Eligibility

To participate, you must:

• be at least 18 years old
• provide accurate registration information
• comply with applicable laws
• maintain a lawful online presence
• comply with these Terms at all times

Orpheus reserves the right to approve or reject any applicant for any reason.

Referral Tracking

Rewardful.com may provide:

• referral links
• tracking codes
• promo codes
• affiliate dashboard
• attribution systems
• analytics tools

Tracking is performed using cookies, referral identifiers, and related technologies.

Orpheus does not guarantee uninterrupted or error-free tracking.

Attribution decisions made by Orpheus shall be final.

Commission Structure

Partners may receive commissions, referral fees, recurring revenue shares, bonuses, or other compensation as determined by Orpheus.

Commission Eligibility

Commissions are earned only on valid transactions determined by Orpheus.

No commissions shall be paid for:

• fraudulent activity
• self-referrals
• fake accounts
• spam-generated traffic
• refunded purchases
• chargebacks
• stolen payment methods
• misleading promotions
• bot traffic
• coupon abuse
• unauthorized paid advertising
• violations of these Terms

Orpheus reserves sole discretion regarding commission validity.

Payment Terms

Payments made:

• monthly
• through approved payout providers

Partners are responsible for:

• taxes
• reporting obligations
• banking fees
• currency conversion fees

Orpheus may delay payouts for fraud review or compliance review.

FTC, Canadian & International Disclosure Compliance

Partners must comply with:

• FTC endorsement guidelines
• Canadian Competition Bureau requirements
• applicable advertising laws
• platform disclosure rules
• international disclosure requirements where applicable

Partners must clearly disclose material relationships with Orpheus.

Examples include:

• "Sponsored"
• "Affiliate link"
• "Paid partnership"
• "I may earn commissions"

Disclosures must be:

• clear
• visible
• understandable
• appropriately placed

Hidden disclosures are prohibited.

Prohibited Claims

Partners may NOT state or imply that:

• Orpheus guarantees investment returns
• Orpheus verifies authenticity
• Orpheus provides investment advice
• Orpheus guarantees provenance
• Orpheus has exclusive access (unless expressly authorized)
• Orpheus has exclusive dealer relationships (unless true)
• Orpheus has hidden market secrets
• Orpheus guarantees availability of items
• Orpheus guarantees rarity
• Orpheus guarantees future value
• Orpheus guarantees profits
• Orpheus guarantees discoveries
• Artwork will appreciate in value

Partners may not make deceptive, exaggerated, misleading, or unverifiable claims.

No Financial or Investment Advice

Orpheus Art Alerts does not provide:

• financial advice
• investment advice
• legal advice
• appraisal guarantees
• authenticity guarantees
• valuation guarantees

Any purchase decisions made by users are solely their responsibility.

Acceptable Promotion Methods

Approved methods may include:

• social media posts
• newsletters
• podcasts
• YouTube videos
• blog articles
• interviews
• educational content
• creator communities

All promotional activity must:

• be truthful
• comply with laws
• comply with platform rules
• maintain professional standards

Prohibited Promotion Methods

• send spam emails
• use unsolicited direct messages
• use misleading ads
• impersonate Orpheus
• create fake reviews
• use bots
• use click fraud
• use misleading domains
• purchase deceptive search ads
• use trademark abuse
• engage in black-hat SEO
• promote hate speech
• promote illegal activity
• harass users
• scrape personal data
• violate privacy laws

Paid Advertising Restrictions

• bid on Orpheus trademarks
• purchase search ads using Orpheus brand terms
• impersonate official Orpheus ads
• use confusing landing pages
• use deceptive redirects

Intellectual Property

Orpheus grants Partners a limited, revocable, non-exclusive license to use approved marketing materials solely for Program participation.

Partners may not:

• alter logos deceptively
• misrepresent branding
• create counterfeit branding
• register confusing domains
• claim ownership of Orpheus intellectual property

All rights remain property of Orpheus.

Content Standards

Partner content must not contain:

• illegal content
• hateful content
• discriminatory content
• violent threats
• defamatory statements
• pornography
• harassment
• misleading information
• unlawful endorsements

Orpheus may require removal of content at any time.

Confidential Information

Partners may receive confidential information including unreleased features, private sources, pricing strategies, business relationships, and marketing plans.

Such information may not be disclosed without written permission.

Data Protection & Privacy

Partners must comply with applicable privacy laws including:

• PIPEDA
• GDPR where applicable
• CAN-SPAM
• CASL
• platform privacy rules

Partners may not collect user information unlawfully.

Monitoring & Compliance

Orpheus may:

• monitor promotions
• review content
• investigate activity
• audit referrals
• request revisions
• suspend accounts

Failure to cooperate may result in termination.

Suspension & Termination

Orpheus may suspend or terminate participation immediately for fraud, spam, deceptive practices, disclosure violations, brand misuse, reputational harm, legal risk, or breach of these Terms.

Termination may result in forfeiture of unpaid commissions.

Chargebacks & Reversals

Orpheus reserves the right to reverse commissions associated with refunds, disputes, fraud, abuse, or policy violations.

Future commissions may be offset against prior reversals.

Limitation of Liability

To the maximum extent permitted by law, Orpheus shall not be liable for indirect damages, lost profits, lost business opportunities, reputational harm, data loss, tracking interruptions, technical failures, or affiliate disputes.

Total liability shall not exceed commissions paid during the preceding three months.

Indemnification

Partners agree to indemnify and hold harmless Orpheus Art Alerts and its owners, employees, contractors, affiliates, and representatives from claims arising from Partner conduct, advertising violations, intellectual property infringement, deceptive promotions, unlawful activity, or disclosure violations.

No Warranty

The Program is provided "as is" without warranties of any kind.

Orpheus does not guarantee:

• earnings
• conversions
• referrals
• uptime
• tracking accuracy
• audience performance

Modifications

Orpheus may modify these Terms at any time. Continued participation constitutes acceptance of updated Terms.

Governing Law

These Terms shall be governed by the laws of British Columbia, Canada.

Any disputes shall be resolved in British Columbia courts.

Entire Agreement

These Terms constitute the entire agreement between Orpheus and the Partner regarding Program participation.

Tracking Technologies

Rewardful.com may use cookies, referral links, attribution identifiers, analytics tools, and tracking software to monitor referral activity and calculate commissions.

Third-Party Platforms

Orpheus may use third-party services including affiliate management and payment providers such as Rewardful and Stripe.

Use of Information

• administer the Program
• track referrals
• prevent fraud
• process payments
• communicate with Partners
• improve services
• enforce Terms

Data Sharing

Orpheus does not sell personal information.

Information may be shared with:

• payment processors
• legal authorities where required
• fraud prevention services
• compliance providers

Data Retention

• accounting obligations
• fraud prevention
• dispute resolution
• operational purposes

Security

Orpheus uses commercially reasonable measures to protect information but cannot guarantee absolute security.

International Transfers

Information may be processed in jurisdictions outside Canada. By participating, Partners consent to such transfers.

Your Rights

Where applicable, users may request:

• deletion requests
• withdrawal of consent
